SUPRA SPC Limited is a special purpose company incorporated in the Astana International Financial Centre. SUPRA has established a master programme for the issuance of secured notes. Notes are issued in Series, in one or more Tranches, on the terms set out in the Master Terms as completed by the applicable Final Terms. The liability of SUPRA under the Notes is separate in respect of each Series: each Series is secured on the collateral of that Series only, and recourse is limited to that collateral.

The Programme is a repackaging platform: against an asset or an exposure introduced by a Dealer, the Issuer issues secured notes in a dedicated Series, so that noteholders take the economics of that collateral in the form of a listed, cleared security.

Each Series is constituted by an Issue Deed under the Master Terms, as completed by the applicable Final Terms. A Series may hold its collateral directly or with a Custodian, or may obtain its economics under a hedging agreement without holding the underlying asset. The Dealer, any Hedging Counterparty, Custodian and Agents are appointed per Series and specified in the applicable Final Terms.

Security over the collateral of a Series is granted to the Trustee for the benefit of the secured creditors of that Series. Recourse is limited to that collateral, and noteholders of one Series have no claim against any other. Issuance is subject to codified Collateral Criteria, available in Documentation.

1. The Dealer brings the asset or exposure and the commercial terms.
2. The Series is constituted: an Issue Deed under the Master Terms, completed by the applicable Final Terms.
3. Notes are issued, listed on AIX and settled in AIX CSD.
4. Security over that Series’ Collateral is granted to the Trustee; recourse is limited to that Collateral.
5. The Series is serviced to maturity; notices are published on this website and on AIX.
